What you will be doing:
Focus on traditional and complex transactions for sophisticated clients, including corporate finance, mergers and acquisitions, closely held business structuring, and tax planning.
Participate in projects using a team approach in a collegial environment.
Work towards accomplishing the client's goals.
Assist in the professional growth of attorneys in legal skills and business development.
Draft, negotiate, and close transaction documents.
Ensure documents presented for signature are thoroughly reviewed and error-free.
Delegate work to legal administrative assistants and/or paralegals, providing clear expectations and oversight throughout projects.
Maintain accountability over projects and responsibilities while proactively resolving issues.
Assess information, anticipate issues and outcomes, and make effective decisions in coordination with senior partners.
Apply analytical and research skills to effectively add value to each project.
Experience you will need:
8+ years of sophisticated corporate transactional experience at a reputable law firm.
Experience should include a broad range of transactional services, including medium and large mergers and acquisitions, growth stage entity representation, private placements, and financing transactions (equity, debt, mezzanine, etc.).
Experience in debt and equity structuring/restructuring, sale-leaseback transactions, private equity representation, and transaction document drafting.
Multi-disciplinary approach experience, including finance or taxation expertise in addition to legal expertise.
Self-starter with exceptional oral and written communication skills to resolve disputes and provide excellent interpersonal and customer service skills.
Experience in tax, real estate, litigation, land use planning, commercial lending, intellectual property, and/or estate planning may also be considered.
Education: Bachelor's degree and Juris Doctor or equivalent from an accredited law school required.
Active license to practice law and/or membership in the state bar.
Additional consideration for CPA, MBA, or similar professional experience in addition to legal degree.
